โดยในปี 2559 คณะกรรมการนโยบายรัฐวิสาหกิจ (คนร.) มีมติเห็นชอบให้ บมจ. กสท โทรคมนาคม และ บมจ. ทีโอที ปรับโครงสร้างเพ่ือแก้ไขปัญหาของทั้งสองบริษัท โดย การจัดตั้งบริษัทที่รัฐบาลถือหุ้น 100% จานวน 3 บริษัท เพื่อ บริหารจัดการทรัพย์สินของ บมจ. ทีโอที และ บมจ. กสท โทรคมนาคม 3 ประเภท1 ได้แก่
1. บริษัทโครงข่ายบรอดแบนด์ภายในประเทศ (NBN Co) เปน็ ธรุ กจิ ทใี่ หบ้ รกิ ารดา้ นโครงขา่ ยบรอดแบนดใ์ นประเทศ ในลักษณะขายส่งบริการ (Wholesale) ให้กับผู้ประกอบการ รายย่อย โดยดูแลทรัพย์สิน Core Network ท่ีเป็น Fiber Optic ไปจนถึง Last Mile ที่เป็น Fiber Optic (รวมสาย ทองแดง) ท่ีเรียกว่า Access Network ของ บมจ. กสท โทรคมนาคม บมจ. ทีโอที และทรัพย์สินโครงข่ายบรอดแบนด์ ภายในประเทศของกระทรวงเทคโนโลยีสารสนเทศและการ สอ่ื สาร (ICT) 15,000 ลา้ นบาท เพอ่ื ขยายขดี ความสามารถของ การใหบ้ รกิ ารใหค้ รอบคลมุ ทว่ั ประเทศ และลดความซา้ ซอ้ นใน การลงทุนตามนโยบายรัฐ
2. บรษิ ทั โครงขา่ ยระหวา่ งประเทศ (NGN Co) เปน็ ธรุ กจิ ที่ให้บริการโครงข่ายระหว่างประเทศ ในลักษณะการขายส่ง (Wholesale) วงจรเชา่ ระหวา่ งประเทศใหก้ บั ผใู้ หบ้ รกิ ารทง้ั ใน และต่างประเทศ โดยดูแลทรัพย์สินของระบบเคเบิลใต้น้า ระหวา่ งประเทศ และระบบเชอื่ มตอ่ ภาคพนื้ ดนิ ของ บมจ. กสท โทรคมนาคม บมจ. ทีโอที และทรัพย์สินโครงข่ายระหว่าง ประเทศของ ICT 5,000 ล้านบาท เพื่อเสริมสร้างขีดความ สามารถของประเทศ
3. บริษัท ศูนย์ข้อมูลอินเทอร์เน็ต (IDC Co) เป็นธุรกิจท่ี ให้บริการ Cloud Computing, Colocation, Internet Data Center และบริการ IT Security ทุกลักษณะ ทุกประเภท และ กจิ การทตี่ อ่ เนอ่ื งหรอื ใกลเ้ คยี งกนั โดยดแู ลทรพั ยส์ นิ ทเ่ี กย่ี วขอ้ ง กับบริการ Cloud Computing, Colocation, Internet Data Centerและบรกิ ารITSecurityของบมจ.กสทโทรคมนาคม และ บมจ. ทโี อที เพอ่ื เสรมิ สรา้ งขดี ความสามารถในการแขง่ ขนั และดึงดูดการลงทุนจากต่างประเทศ
โดยคณะกรรมการนโยบายรัฐวิสาหกิจมอบหมายให้ กระทรวง DE และคณะทางานกากับดูแลและติดตามให้ บมจ. กสท โทรคมนาคม และ บมจ. ทีโอที จัดทารายละเอียดของ แผนการดาเนินกิจการของทั้ง 3 บริษัท เช่น โครงสร้างการถือ หุ้นทรัพย์สินที่จะมีการบริหารจัดการ หรือแนวทางการบริหาร เป็นต้น รวมถึงดาเนินการจัดทารายละเอียดท่ีเกี่ยวข้องกับ พนักงาน ให้เกิดผลลัพธ์ภายในเดือนกรกฎาคม 2560 ในขณะ เดยี วกนั กส็ อื่ สารใหพ้ นกั งานรบั ทราบและเขา้ ใจในแนวทางการ แก้ไขปัญหาขององค์กร

In 2016 the State Enterprise Policy Organization passed resolution granting permission to CAT Telecom and TOT PCL to restructure their organization to solve existing problems by establishing three new companies with the government holding 100 percent shares to manage TOT and CAT Telecom assets namely:
1. Domestic broadband network company (NBN Co) has been set up to provide domestic broadband network services in Thailand in a form of wholesale for small operators. The company is responsible for the assets of core network ranging from ber optic to Last Mile that are ber optic including copper wire that is called access network that belongs to TOT and CAT Telecom as well as broadband assets in Thailand that belong to the Ministry of ICT at the amount of 15,000 million baht. This will help expand its capability to cover wider area within Thailand and reduce duplicate investments in accordance with the government policy.
2. International network company (NGN Co) was established to provide international network service in the form of wholesale rented circuit for operators both within and outside Thailand. The company is responsible for assets of underwater cable between countries and TOT and CAT Telecom ground connecting system as well as the assets of the Ministry of ICT at the amount of 5,000 million baht to promote the country’s capability.
3. Internet information center company (IDC Co) was established to provide cloud computing, colocation, internet data center services as well as all types of IT security services or those related. The company is responsible for assets related to cloud computing, colocation, Internet Data Center services and IT Security of CAT Telecom and TOT to further promote competitive advantage and attract international investments.
The State Enterprise Policy committee assigned the DE Ministry and working group to follow up with CAT Telecom and TOT in putting together plans for establishment of these three companies. This includes the management of shares and assets structure as well as details related to employees which should become effective in July 2017. At the same time communication between the management and employees must be established in order to create greater understanding of ways in which problems were being resolved.
