บทบาทและหน้าที่
1. เสนอแนวทางปฏิบัติด้านการกากับดูแลกิจการท่ีดีและ ส่งเสริมกิจกรรมเพื่อสังคมต่อคณะกรรมการบริษัท
2. ให้คาแนะนาแก่คณะกรรมการองค์กรในเร่ืองเก่ียวกับการ กากับดูแลกิจการที่ดีและส่งเสริมกิจกรรมเพ่ือสังคม
3. กากับดูแลการปฏิบัติงานของกรรมการบริษัทและฝ่าย จัดการ เพื่อให้เป็นไปตามหลักการกากับดูแลกิจการที่ดี และส่งเสริมกิจกรรมเพื่อสังคม
4. ทบทวนหลกั การกา กบั ดแู ลกจิ การทดี่ แี ละสง่ เสรมิ กจิ กรรม เพื่อสังคมของบริษัท โดยเปรียบเทียบกับแนวปฏิบัติสากล และเสนอแนะต่อคณะกรรมการบริษัท
5. มอบหมายนโยบายการกากับดูแลกิจการที่ดีและนโยบาย การส่งเสริมกิจกรรมเพ่ือสังคมของบริษัทให้คณะทางาน พัฒนาการกากับดูแลกิจการที่ดีและส่งเสริมกิจกรรมเพ่ือ สังคมไปดาเนินการ
จรรยาบรรณในการดาเนินธุรกิจ
1. ปฏิบัติหน้าท่ีด้วยความสานึกรู้และตระหนักในความ รับผิดชอบ มีความซื่อสัตย์สุจริต มุ่งมั่น ทุ่มเท และปฏิบัติ ตามกฎเกณฑแ์ ละนโยบายของบรษิ ทั อยา่ งเครง่ ครดั โดยถอื ประโยชน์สูงสุดของบริษัทเป็นสาคัญ
2. รักษาความลับของบริษัทและผู้เกี่ยวข้องกับบริษัทอย่าง เคร่งครัด
3. ไม่กล่าวร้ายหรือกระทาการใดๆ อันจะนาไปสู่ความ แตกสามคั คหี รอื ความเสยี หายแกบ่ รษิ ทั และบคุ คลภายนอก ท่ีเกี่ยวข้อง

Roles and responsibilities
1. Propose guidelines for good governance practice and promote social contribution activities to the Board of Directors.
2. Provide recommendations to the Board of Directors related to good governance practice and social contribution activities.
3. Supervise performance of the Board of Directors and Management to ensure that it follows good governance principles and promotion of social contribution activities.
4. Review the Company’s good governance principles and social contribution activities by bench marking with international practice and propose to the Board of Directors.
5. Present good governance and social contribution policy to the Good Governance and Social Contribution Committee for further action.
Business ethics
1. Perform duty with awareness and sense of responsibility, loyalty, dedication and commitment as well as strictly in accordance with the company’s regulations and policy taking into consideration the highest corporate benefit.
2. Strictlymaintaininformationconfidentialityofthe company and related individuals.
3. Avoid any groundless accusation or action which may lead to confusion or damage to the company or related individuals outside the company.
